Terms of service

The terms for using AgentX.

The agreement between you and AgentX ApS, for the AgentX websites and service.

Last updated: [CONFIRM: effective date]

1. Who we are

These terms are an agreement between you and AgentX ApS (CVR 44710641), Åbogade 15, Aarhus N, Denmark ("AgentX", "we"). They apply to the AgentX websites (agentxhq.com) and the AgentX service.

If you accept these terms on behalf of a company, you confirm that you may bind that company, and "you" means the company.

2. What AgentX is

AgentX is a cloud console and billing service for AI agents. You install the AgentX daemon on your own machines (Linux, macOS or Windows). Your agents run there, using AI subscriptions, API keys or local models (for example Ollama) that you provide. AgentX lets you see, control and coordinate those agents from one console across all your machines.

AgentX does not run AI models for you, does not proxy your model calls and never bills for AI inference. Your work product (agents, sessions, messages, artifacts) is stored by the daemon on your own machines. See our Privacy Policy for exactly what reaches our servers.

3. Accounts and seats

  • You must give a valid email address and keep your password and any API tokens safe. You are responsible for what happens under your account.
  • You must be at least [CONFIRM: 18] years old.
  • An account belongs to a workspace (team). The workspace owner can invite people, give them roles and remove them. Each extra person is a seat.
  • Seats give people access; they do not add to the message quota. All seats share the workspace's single pooled quota.

4. Plans and pricing

  • Free plan: no card required. 1,000 messages in the first month, then 200 messages per month.
  • Paid plans: priced by the size of the monthly message pool. One pool is shared by the whole workspace. Extra seats cost $20 per seat per month.
  • Unlimited on every plan, including Free: agents, machines, sessions and concurrency.
  • What counts as a message: one instruction or reply passing between a person and an agent, or between two agents. Tokens, files and storage do not count.
  • When the pool runs out: new sends pause until the next monthly period. Work that is already running is not stopped. You can upgrade at any time.
  • Current prices are on agentxhq.com/pricing. Prices are shown [CONFIRM: incl./excl. VAT].
  • Enterprise and Hosted Runtime are sold under a separate written agreement.

5. Payment and cancellation

  • Payments are taken by card through Stripe. We do not see or store your card number. Stripe's own terms also apply to the payment.
  • Paid plans renew automatically each month, or each year on annual billing, until cancelled.
  • You can cancel at any time from the billing page in the console. [CONFIRM: The paid plan stays active until the end of the period you have paid for and then moves to the Free plan. We do not refund the remaining part of a period, unless the law requires it.]
  • If a payment fails, we may [CONFIRM: move the workspace to the Free plan / suspend paid features] until payment is made.
  • We may change prices with at least [CONFIRM: 30] days' notice. A change applies from your next renewal. If you do not accept it, you can cancel before then.

6. Your responsibilities

  • Your machines. You install and run the daemon on machines you own or are allowed to use. You are responsible for their security, backups, access and the data on them.
  • Your AI providers. You must have your own valid accounts with the AI model providers you use (for example Anthropic, OpenAI, OpenRouter) and follow their terms and usage policies. Any fees they charge are between you and them.
  • What your agents do. Agents act on your instructions and with the permissions you give them on your machines. You are responsible for what your agents do, including code they write or run, files they change, and messages or actions they send to other systems. Review their work before relying on it.
  • Lawful use. Do not use AgentX to break the law, infringe others' rights, send spam, attack or probe other systems without permission, or try to get around quotas, security or other customers' separation.
  • Your team. You are responsible for the people you invite into your workspace.

7. Availability and beta

AgentX is a young product under active development [CONFIRM: and is offered as a beta]. We work to keep it running and secure, but we do not promise it will be uninterrupted or error-free, and features may change. Because your agents run on your own machines, an outage of our console does not by itself stop work that is already running there. Formal service levels are offered only in Enterprise agreements.

8. Intellectual property and your content

  • Your content is yours. Code, files, messages and other output your agents produce, and anything you give us, remain yours (subject to the terms of your AI providers). We claim no ownership.
  • You give us only the limited right to transmit and process your content as needed to run the service for you (for example to stream it to your console).
  • AgentX is ours. The software, the daemon, the console and the AgentX brand belong to AgentX ApS or its licensors. We give you a non-exclusive, non-transferable right to use them while your account is active and in line with these terms.
  • If you send us feedback or ideas, we may use them freely.

9. Liability

  • The service is provided "as is". To the extent the law allows, we give no warranty that it suits a particular purpose, and we are not liable for what your agents or AI models do.
  • We are not liable for indirect loss, such as lost profit, lost data, business interruption or lost goodwill.
  • Our total liability is limited to the amount you paid us in the [CONFIRM: 12] months before the event that caused the claim.
  • These limits do not apply to loss caused by our intent or gross negligence, or where the law does not allow them.
  • Consumers: if you are a consumer, nothing in these terms limits your rights under mandatory Danish consumer law, including the Consumer Contracts Act (forbrugeraftaleloven) and the Sale of Goods Act (købeloven). [CONFIRM: item 2 — right of withdrawal.]

10. Termination

  • You can stop using AgentX and close your account at any time [CONFIRM: how — contact or console].
  • We may suspend or close an account that seriously or repeatedly breaks these terms, or if the law requires it. Where reasonable, we will warn you first.
  • After termination, your access to the console ends. Data held by your daemon on your own machines stays with you. Account data we hold is deleted as described in the Privacy Policy [CONFIRM: retention period].

11. Changes to these terms

We may update these terms. For significant changes we will tell you by email or in the console at least [CONFIRM: 30] days before they apply. If you keep using AgentX after that, the new terms apply. If you do not agree, you can cancel before they take effect.

12. Law and disputes

These terms are governed by Danish law. Disputes go to the Danish courts [CONFIRM: with Retten i Aarhus as first instance for business customers]. Consumers can also complain to the Danish Consumer Complaints Board (Forbrugerklagenævnet, www.forbrug.dk), and keep the right to sue where they live if the law gives them that right.
